Affiliate Terms & Conditions

1. Definitions

• "Affiliate" means any individual or business entity approved to participate in the Yoliv Healthy Affiliate Program.
• "Tracking Link" means the unique URL or discount code assigned to the Affiliate that identifies traffic and orders attributable to them.
• "Qualifying Order" means an order that meets all conditions stated in Clause 5.
• "Commission" means the monetary amount payable to the Affiliate for each Qualifying Order.
• "Affiliate Policy" means the Yoliv Healthy Affiliate Marketing Policy available at /pages/affiliate-policy, which is incorporated by reference into these Terms.

2. Eligibility & Application

To be eligible, you must be at least 18 years of age, legally capable of entering into binding contracts under Indian law, and have a valid PAN card. Approval is at Yoliv's sole discretion and may be revoked at any time. We may request additional documentation (KYC, social proof, audience analytics) before or during your participation.

You confirm that all information provided in your application is accurate, complete, and up to date. Any misrepresentation is grounds for immediate termination and forfeiture of commissions.

3. Independent Contractor Relationship

The Affiliate is an independent contractor and not an employee, agent, partner, joint venturer, or representative of Yoliv. Nothing in these Terms creates an employer-employee relationship, partnership, or fiduciary relationship. The Affiliate has no authority to make any representations, warranties, or commitments on behalf of Yoliv.

4. Commission Structure

Yoliv will pay the Affiliate a Commission equal to 15% of the product subtotal of each Qualifying Order. The commission rate may be revised at our discretion with at least 30 days' written notice via email.

Commissions are calculated on the product subtotal only, excluding shipping fees, taxes (GST), gift card purchases, returned or refunded amounts, and any third-party charges. Subscription orders earn commission on the first order only, unless a different rate is explicitly agreed in writing.

5. Qualifying Orders

An order is "Qualifying" only if all of the following conditions are met:

• The order is placed through the Affiliate's active Tracking Link or discount code
• Full payment is successfully received by Yoliv
• The order is shipped to and accepted by the customer
• The 30-day return/refund window has closed without the customer requesting a refund, exchange, or chargeback
• The order is not associated with fraudulent activity, refund abuse, or violation of these Terms or the Affiliate Policy
• The order was not driven by methods prohibited under the Affiliate Marketing Policy (including brand bidding, cookie-stuffing, or self-referrals)

6. Self-Referrals

Affiliates may not use their own Tracking Link or discount code for personal purchases. Any commission generated from self-referrals will be reversed and may result in immediate termination.

7. Cookie Duration & Attribution

The Affiliate's Tracking Link drops a 30-day cookie on the user's browser. Any Qualifying Order placed within 30 days of the click is attributed to the Affiliate, subject to last-click attribution: if the user subsequently clicks another affiliate's link, the most recent affiliate is credited.

For orders placed using a discount code, attribution applies regardless of cookies, provided the code is unique to the Affiliate.

8. Payouts

Commissions are calculated monthly and paid on the 15th of the following month for all commissions confirmed in the prior month, after the 30-day return window has closed.

The minimum payout threshold is ₹500. Amounts below this threshold will roll over to the next cycle until the threshold is reached. Payment is made via UPI or direct bank transfer to the account designated by the Affiliate. The Affiliate is responsible for keeping payout details accurate and up to date.

9. Taxes (TDS & GST)

TDS: As per Section 194H of the Income Tax Act, 1961, Yoliv will deduct Tax at Source (TDS) at 5% on cumulative commissions exceeding ₹15,000 in a financial year. A Form 16A will be issued annually to enable the Affiliate to file income tax returns.

GST: If the Affiliate is GST-registered, they are responsible for raising a valid GST invoice in respect of commissions earned and remitting GST as applicable. Affiliates without GST registration are not required to invoice.

The Affiliate is solely responsible for all personal income taxes, professional taxes, and any other applicable taxes arising from the receipt of commissions.

10. Policies Incorporated by Reference

The Affiliate Marketing Policy and the Affiliate Program FAQ are incorporated into these Terms by reference. By accepting these Terms, the Affiliate also agrees to comply with the Affiliate Marketing Policy and any other guidelines Yoliv issues from time to time. In case of conflict, these Terms prevail.

11. Disclosure Obligations

The Affiliate must clearly and conspicuously disclose their affiliate relationship in any content where they promote Yoliv Healthy, in accordance with:

• The ASCI (Advertising Standards Council of India) Code for Self-Regulation of Advertising
• The Consumer Protection (E-commerce) Rules, 2020
• The Guidelines for Prevention of Misleading Advertisements, 2022 issued by the Central Consumer Protection Authority
• Platform-specific advertising and disclosure rules (Instagram, YouTube, etc.)

Failure to comply with disclosure obligations is a material breach of these Terms.

12. Intellectual Property & Licence

Yoliv grants the Affiliate a limited, non-exclusive, non-transferable, revocable licence to use Yoliv-approved marketing materials (logos, product images, copy, banners) solely for the purpose of promoting Qualifying Orders through the Program.

The Affiliate shall not modify Yoliv trademarks, register variations of Yoliv trademarks as their own, use Yoliv brand assets in misleading contexts, or imply official endorsement, partnership, or representation beyond the Program. All goodwill arising from use of Yoliv intellectual property accrues to Yoliv.

13. Confidentiality

The Affiliate agrees to keep confidential all non-public information shared by Yoliv, including but not limited to commission rates beyond standard published rates, internal marketing plans, customer data, sales performance, and unreleased product information. This obligation survives termination of the Program for a period of two (2) years.

14. Representations & Warranties

The Affiliate represents and warrants that:

• They will comply with all applicable laws and regulations, including the Information Technology Act, 2000, FSSAI advertising guidelines, and consumer protection laws
• They will not make any false, misleading, or unsubstantiated claims regarding Yoliv products
• They will not engage in any activity that may damage the reputation, goodwill, or commercial interests of Yoliv
• All content they create for promotion is original, properly licensed, and free of third-party rights infringement
• They will maintain accurate records of disclosures and promotional activity for at least 12 months

15. Suspension & Termination

Either party may terminate participation in the Program at any time, with or without cause, by providing written notice via email. Termination is effective immediately upon receipt of notice.

Yoliv may suspend or terminate the Affiliate's account immediately, without notice, for any of the following:

• Material breach of these Terms or the Affiliate Marketing Policy
• Fraudulent or deceptive activity, including fake clicks, fake orders, or chargeback abuse
• Violation of any applicable law or third-party rights
• Conduct that damages Yoliv's brand, reputation, or commercial interests
• Affiliate account inactivity exceeding twelve (12) consecutive months
• Insolvency, bankruptcy, or assignment for the benefit of creditors

Upon termination, any pending unpaid commissions associated with fraudulent activity or breach will be forfeited. Commissions earned in good faith prior to termination will be paid in the next regular cycle, subject to the standard 30-day return window.

16. Effect of Termination

Upon termination, the Affiliate must immediately:

• Cease using all Tracking Links, discount codes, and Yoliv marketing materials
• Remove Yoliv branding, logos, and trademarks from all owned channels within seven (7) days
• Not register or transfer any Yoliv-related domains, social handles, or trademarks

Clauses 12 (IP), 13 (Confidentiality), 17 (Liability), 18 (Indemnification), and 21 (Governing Law) survive termination.

17. Limitation of Liability

To the maximum extent permitted by law, Yoliv shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to participation in the Program.

In all cases, Yoliv's total cumulative liability under these Terms shall not exceed the aggregate Commissions paid to the Affiliate during the twelve (12) months immediately preceding the event giving rise to the claim.

18. Indemnification

The Affiliate agrees to indemnify, defend, and hold harmless Yoliv, its directors, officers, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• The Affiliate's breach of these Terms or the Affiliate Marketing Policy
• The Affiliate's promotional content, including any claims of misleading advertising or IP infringement
• The Affiliate's violation of any applicable law or third-party right
• The Affiliate's fraudulent or negligent acts or omissions

19. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond reasonable control, including natural disasters, pandemics, acts of government, war, terrorism, internet outages, payment gateway failures, or third-party platform suspensions.

20. Modifications

Yoliv may modify these Terms, commission rates, payout schedules, or Program structure at any time. Material changes will be notified to the Affiliate via email at least 30 days in advance. Continued participation after the effective date constitutes acceptance. If the Affiliate does not agree with the changes, they must terminate participation before the effective date.

21. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. The parties shall attempt to resolve any dispute amicably through good-faith discussion (email to partners@yolivhealthy.com) before initiating legal proceedings.

Any unresolved dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by Yoliv. The seat and venue of arbitration shall be Yoliv's registered city. The arbitration shall be conducted in English. Notwithstanding the above, Yoliv may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

22. Notices

All notices under these Terms shall be in writing and sent by email to partners@yolivhealthy.com (for notices to Yoliv) or to the Affiliate's registered email address (for notices to the Affiliate). Notices are deemed received on the next business day after dispatch.

23. Assignment

The Affiliate may not assign, transfer, or sublicense any rights or obligations under these Terms without Yoliv's prior written consent. Yoliv may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets.

24. Entire Agreement

These Terms, together with the Affiliate Marketing Policy, the Privacy Policy, and any other document expressly incorporated, constitute the entire agreement between the Affiliate and Yoliv regarding the Program and supersede all prior agreements, understandings, or representations, whether written or oral.

25. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

26. Waiver

No failure or delay by Yoliv in exercising any right under these Terms shall constitute a waiver of that right. Any waiver shall be in writing and signed by an authorised representative of Yoliv.

Grievances submitted under the Consumer Protection (E-commerce) Rules, 2020 and the Information Technology Rules, 2021 will be acknowledged within 48 hours and resolved within the timelines mandated by Indian law.

By submitting an affiliate application or otherwise participating in the Yoliv Healthy Affiliate Program, you acknowledge that you have read, understood, and agreed to be bound by these Affiliate Terms & Conditions.
